These Terms of Use, together with the Privacy Policy, constitute a legally binding agreement (“Agreement”) between you and Pratidin Tripura, operated by [insert the correct legal entity name] (“Pratidin Tripura”, “we”, “us” or “our”). For the purposes of this Agreement, “Content” includes, without limitation, information, data, text, logos, photographs, videos, audio clips, animations, written posts, articles, comments, software, scripts, graphics, themes, interactive features and User Content, as defined below, that are generated, provided or otherwise made available through the Services.

1. Eligibility

The Services are intended for users who are at least 18 years old. By accessing or using the Services, you represent and warrant that you are at least 18 years of age and legally capable of entering into this Agreement.

If you are under 18 years of age, you must immediately stop accessing and using the Services.

2. Restrictions and Acceptable Use

The Services may contain Content provided by Pratidin Tripura, its partners, users or other third parties. Such Content may be protected by copyright, trademarks, service marks, patents, trade secrets and other proprietary rights and laws. You must comply with all copyright notices, ownership information and restrictions contained in or accompanying any Content accessed through the Services.

You must not:

1. Take any action that imposes, or may impose, an unreasonable or disproportionately large load on the infrastructure of Pratidin Tripura or its third-party service providers.
2. Interfere with, disrupt or attempt to disrupt the proper operation of the Services or any activity conducted through the Services.
3. Bypass, circumvent or attempt to bypass or circumvent any security, access-control or other measures used to prevent or restrict access to the Services, accounts, computer systems or networks connected to the Services.
4. Use any auto-responder, automated messaging system, spam or similar mechanism in connection with the Services.
5. Use any manual or automated software, device or process to crawl, spider, scrape, harvest or otherwise collect Content or information from the Services.
6. Use the Services in violation of this Agreement or any applicable guidelines, policies or instructions issued by Pratidin Tripura.

You must not, and must not permit any third party to, upload, download, post, submit, transmit, distribute or otherwise make available any Content, including User Content, that:

1. Infringes or violates any intellectual property, proprietary, privacy, confidentiality or other rights of any person or entity.
2. Does not belong to you, unless you have all necessary rights, permissions and authorisations to use and submit it.
3. You know, or reasonably should know, is false, misleading, untruthful or inaccurate, or that may cause harm to Pratidin Tripura or any third party.
4. Is fraudulent, unlawful, defamatory or promotes illegal activities.
5. Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another person’s privacy, hateful, racially or ethnically objectionable, disparaging or otherwise unlawful.
6. Causes distress, discomfort, duress or harassment to another person, or is likely to deter or discourage others from using the Services.
7. Constitutes unauthorised or unsolicited advertising, junk mail, bulk messaging or spam.
8. Harms or exploits minors in any manner.
9. Contains viruses, malware or other computer code, files or programs designed to disrupt, damage, limit or interfere with the operation of software, hardware or telecommunications equipment, or to obtain unauthorised access to any system, data, password or information.
10. Impersonates any person or entity, including any employee, representative or agent of Pratidin Tripura.
11. Contains identification documents, payment information, passwords or other sensitive personal or financial information belonging to another person.
12. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, or encourages the commission of a cognisable offence, obstructs the investigation of an offence or insults another nation.

Pratidin Tripura reserves the right to access, preserve, use and disclose information where it reasonably believes that doing so is necessary to:

1. Comply with applicable laws, regulations, legal processes or governmental requests.
2. Enforce this Agreement and investigate suspected violations.
3. Detect, prevent or address fraud, security or technical issues.
4. Respond to support requests.
5. Protect the rights, property or safety of Pratidin Tripura, its users or the public.

3. Availability of the Services and Content

Pratidin Tripura does not guarantee that any particular Content will always be available through the Services.

Pratidin Tripura reserves the right, but does not assume an obligation, to remove, refuse to distribute, edit, modify, restrict, block or otherwise alter any Content at any time, without prior notice and for any reason, including where Pratidin Tripura receives a complaint or allegation from a third party or governmental authority, believes that Content may violate this Agreement or applicable law, or determines that such action is otherwise appropriate.

Pratidin Tripura will make reasonable efforts to keep the Services operational. However, technical difficulties, maintenance, upgrades, security incidents and events beyond our reasonable control may result in temporary interruptions.

Pratidin Tripura may modify, suspend or discontinue the Services, or any portion of them, temporarily or permanently, with or without notice. To the maximum extent permitted by applicable law, Pratidin Tripura will not be liable to you or any third party for any loss or damage arising from such modification, suspension, discontinuation or interruption.

4. User Content

Certain features of the Services may allow you to create, submit, post, upload, embed, display or otherwise make content available through the Services (“User Content”).

You retain ownership of your User Content. However, by submitting or posting User Content, you grant Pratidin Tripura a worldwide, irrevocable, perpetual, non-exclusive, transferable, sublicensable, royalty-free and fully paid-up licence to use, host, store, reproduce, copy, process, modify, adapt, publish, display, perform, distribute, transmit, translate, create derivative works from and otherwise exploit that User Content, in whole or in part, in any media or format now known or later developed, for editorial, promotional, advertising, commercial, informational and other legitimate business purposes.

This licence includes the right to permit Pratidin Tripura’s affiliates, contractors, service providers, licensees, partners and syndication, broadcasting, distribution or publishing partners to use the User Content in accordance with this Agreement. You will not be entitled to any payment, royalty or other compensation for such use, and Pratidin Tripura will not be required to provide attribution unless it chooses to do so.

Where Pratidin Tripura elects to provide attribution, you grant Pratidin Tripura the right to use your name, username, likeness and biographical information in connection with your User Content and its promotion, publication or distribution.

You waive any right to inspect or approve any final product or use of your User Content. Pratidin Tripura may modify or adapt User Content as reasonably necessary to transmit, display or distribute it through computer networks, devices, services or media, or to comply with technical or formatting requirements.

You are solely responsible for your use of the Services and for all User Content you submit, including the consequences of submitting, publishing, distributing or otherwise making that User Content available.

You acknowledge that your User Content may be syndicated, broadcast, distributed, published or otherwise used by Pratidin Tripura or its partners. If you do not have the necessary rights to submit User Content for such use, you may be liable for any resulting claims, losses, damages, costs or expenses.

Pratidin Tripura is not responsible or liable for the use of your User Content in accordance with this Agreement and does not guarantee the confidentiality of User Content submitted through the Services.

By submitting or posting User Content, you represent and warrant that:

1. You own or control all rights necessary to submit the User Content and grant the rights set out in this Agreement.
2. Your User Content and its use in accordance with this Agreement do not violate any law or the rights of any person or entity, including copyright, privacy, publicity, trademark, contractual or other intellectual property rights.
3. You have obtained all permissions required for any third-party material included in your User Content.
4. Your User Content does not contain unlawful, defamatory, misleading, harmful or prohibited material.
5. Your submission of User Content does not create an employment, agency, partnership, joint venture or other representative relationship between you and Pratidin Tripura.

To the maximum extent permitted by law, you release and discharge Pratidin Tripura, its affiliates, advertising agencies, successors, assigns, officers, employees, agents, licensees and representatives from claims, actions and demands arising out of or relating to the permitted use of your User Content, name, likeness or biographical information, including claims relating to privacy, publicity or defamation.

Pratidin Tripura may make reasonable efforts to preserve User Content but is not responsible for any loss, deletion, corruption or failure to store User Content. You are solely responsible for maintaining appropriate backups of your User Content.

5. Login and Third-Party Authentication

Certain features of the Services may require login through a third-party account or authentication provider, including services such as Google or other providers supported by Pratidin Tripura.

By using third-party authentication, you authorise Pratidin Tripura to access information made available through that authentication provider, such as your name and email address, in accordance with the Privacy Policy and the permissions you grant.

You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your account. You must promptly notify Pratidin Tripura if you believe that your account or credentials have been compromised.

6. Intellectual Property Rights

All rights, title and interest in and to the Services, including the Content created or provided by Pratidin Tripura, are owned by or licensed to Pratidin Tripura or its third-party licensors.

The Services and Content are protected by applicable copyright, trademark, intellectual property and other laws of India and other countries. Except as expressly provided in this Agreement, no rights or licences are granted to you.

Subject to your compliance with this Agreement, Pratidin Tripura grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Content solely for your personal, non-commercial purposes.

You must not, and must not permit any other person to:

1. Copy, reproduce, modify, translate, adapt or create derivative works from any part of the Services or Content.
2. Reverse engineer, decompile, disassemble, decrypt or attempt to derive the source code, underlying ideas or algorithms of the Services.
3. Reproduce, retransmit, distribute, disseminate, sell, licence, perform, publish, display, make available to third parties or otherwise exploit the Services or Content without Pratidin Tripura’s prior written consent.
4. Remove, obscure or alter any copyright, trademark or other proprietary notices.
5. Use the Services or Content in a manner that infringes or violates any intellectual property right.

Pratidin Tripura does not permit copyright infringement or other intellectual property violations through the Services. If you become aware of any unauthorised use or infringement, you should promptly notify Pratidin Tripura in writing.

Pratidin Tripura may establish and update rules and policies relating to the Services, including requirements for application updates, security patches, interoperability updates and performance improvements.

Any feedback, comments or suggestions you provide regarding the Services are voluntary. You agree that Pratidin Tripura may use, reproduce, disclose, modify and otherwise exploit such feedback without restriction or compensation to you.

7. Reporting Intellectual Property Infringement

If you believe that copyrighted work has been copied or posted through the Services in a manner that constitutes infringement, please send a written notice to:

Your notice should include:

1. A physical or electronic signature of the copyright owner or a person authorised to act on the owner’s behalf.
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the allegedly infringing material and information reasonably sufficient to locate it.
4. Your name, address, telephone number and email address.
5. A statement that you have a good-faith belief that the disputed use is not authorised by the copyright owner, its agent or applicable law.
6. A statement that the information provided is accurate and, under penalty of perjury, that you are authorised to act on behalf of the copyright owner.

Pratidin Tripura will take appropriate action in accordance with applicable law, including the Information Technology Act, 2000 and applicable rules and regulations. Where Pratidin Tripura determines in good faith that Content is likely to infringe a third party’s intellectual property rights, it may remove or restrict access to that Content.

Please include sufficient details to enable Pratidin Tripura to understand and investigate your complaint, including relevant URLs, screenshots, dates, descriptions and supporting documents, where applicable.

Pratidin Tripura will process grievances in accordance with applicable law and its internal procedures. This contact does not limit any rights or remedies available under applicable law.

9. Third-Party Links and Services

The Services may contain links to websites, applications, products or services owned or operated by third parties.

Third-party websites and services may contain information or material that some users may consider inappropriate, offensive or objectionable. Such websites and services are outside Pratidin Tripura’s control. Pratidin Tripura is not responsible for their availability, content, security, privacy practices, products or services.

Third-party links are provided for convenience only and do not constitute an endorsement, sponsorship or recommendation by Pratidin Tripura.

Your use of third-party websites and services is at your own risk and is subject to the applicable terms of use and privacy policies of those third parties.

10. Disclaimer Regarding Content

The Services may include Content, including User Content, that may be offensive, harmful, objectionable, indecent, unlawful, inaccurate or inappropriate.

Pratidin Tripura does not endorse User Content or third-party Content, and such Content does not necessarily represent the views, opinions or policies of Pratidin Tripura.

Pratidin Tripura may, but is not obligated to, monitor, review, restrict, remove or refuse to publish Content. Pratidin Tripura may also suspend or terminate a user account where it determines, in its sole discretion, that the account or its activity violates this Agreement, applicable law or the rights of another person.

To the maximum extent permitted by applicable law, Pratidin Tripura will not be responsible or liable for any Content, including errors or omissions, or for any loss or damage arising from your use of or reliance on Content made available through the Services.

You use and rely on all Content at your own risk.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, you expressly agree that your access to and use of the Services and Content are at your sole risk.

The Services and Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory.

To the maximum extent permitted by law, Pratidin Tripura disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and any warranties arising from a course of dealing or usage of trade.

Pratidin Tripura does not warrant or guarantee that:

1. The Services or Content will be complete, accurate, current, available, secure or reliable.
2. The Services will meet your requirements or expectations.
3. The Services will be uninterrupted, timely, error-free, secure or free from viruses or other harmful components.
4. Any Content will be stored, transmitted or preserved.
5. Access to the Services will be available at any particular time or location.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Pratidin Tripura, its licensors, suppliers, partners, affiliates, officers, employees, agents and third-party service providers will not be liable to you or any third party for any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or any other loss or damage, arising out of or relating to:

1. This Agreement.
2. Your access to or use of the Services or Content.
3. Your inability to access or use the Services.
4. Any interruption, suspension, modification or termination of the Services.
5. Any unauthorised access to or alteration of your Content or information.

This limitation applies regardless of the form of action, legal theory or basis of the claim and whether or not Pratidin Tripura was advised of the possibility of such damages.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.

13. Indemnity

You agree to defend, indemnify and hold harmless Pratidin Tripura, its affiliates, licensors, suppliers, partners, officers, directors, employees, agents, representatives and service providers from and against all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or relating to:

1. Your breach of this Agreement.
2. Your violation of applicable law or the rights of any person or entity.
3. Your access to or use of the Services.
4. Your User Content.
5. Your violation of any representation or warranty made under this Agreement.

Pratidin Tripura may participate in the defence of any such claim or action. No settlement that adversely affects the rights or obligations of Pratidin Tripura may be made without Pratidin Tripura’s prior written consent.

Pratidin Tripura reserves the right, at its own expense and upon notice to you, to assume exclusive control and defence of any matter subject to indemnification. If Pratidin Tripura assumes control of the defence, your indemnification obligations will continue except to the extent expressly agreed otherwise in writing.

14. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, the courts located in Agartala, Tripura, India shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement or the Services.

15. Termination and Suspension

Pratidin Tripura may suspend, restrict or terminate your access to all or any part of the Services at any time, with or without cause and with or without notice, subject to applicable law.

Upon termination, your right to use the Services will immediately cease.

Provisions that by their nature should survive termination will survive, including provisions relating to User Content licences, intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution.

16. Membership and Subscription Cancellation Policy

Monthly Memberships

Monthly members may cancel their membership at any time. Cancellation will prevent future renewals, subject to the terms of the applicable payment provider and any additional subscription terms disclosed at the time of purchase.

Annual Memberships

Annual memberships are prepaid and remain active for the applicable 12-month subscription period. If you cancel an annual membership, you may continue to use the applicable Services until the end of the then-current subscription period. The membership will not automatically renew for another annual period after cancellation.

17. Membership and Subscription Refund Policy

Unless otherwise required by applicable law or expressly stated at the time of purchase, memberships and subscriptions are final sale and non-refundable.

You may cancel your membership at any time to prevent future renewals. Cancellation does not automatically entitle you to a refund for the unused portion of the current subscription period.

18. Other Important Provisions

You must not use the Services in any jurisdiction or manner where this Agreement or any part of it is unlawful or unenforceable.

You must use the Services in compliance with all applicable central, state and local laws, rules and regulations. Pratidin Tripura disclaims responsibility for any action taken by you in violation of applicable law and may suspend or terminate your access if you fail to comply.

Pratidin Tripura’s performance under this Agreement is subject to applicable laws, legal processes and governmental requests. Nothing in this Agreement limits Pratidin Tripura’s right to comply with such laws, processes or requests.

If any provision of this Agreement is held to be invalid or unenforceable, that provision will be replaced by an enforceable provision that most closely reflects the original intent, and the remaining provisions will continue in full force and effect.

No failure or delay by Pratidin Tripura in enforcing any provision or exercising any right will constitute a waiver of that provision or right.

You may not assign or transfer your rights or obligations under this Agreement without Pratidin Tripura’s prior written consent. Any attempted assignment in violation of this provision is void.

This Agreement, together with the Privacy Policy and any other policies, rules or procedures incorporated by reference, constitutes the entire agreement between you and Pratidin Tripura concerning the Services and supersedes all prior or contemporaneous communications and agreements relating to the Services.

A printed version of this Agreement and any notice provided electronically may be admitted in judicial or administrative proceedings to the same extent as other business documents and records maintained in printed form.

19. Changes to this Agreement

Pratidin Tripura may revise or update this Agreement from time to time at its discretion.

The updated version will be posted through the Services with a revised “Last Updated” date. Your continued access to or use of the Services after the revised Agreement becomes effective constitutes your acceptance of the updated terms.

If you do not agree to the revised Agreement, you must stop using the Services.
